Terms (International – English) — v2025-11-10
Scope & language. These Terms apply to Clients established outside France. The French CGV apply to Clients in France. In case of discrepancy, the English version prevails for international Clients.
No signature required; when referenced in a SOW/PO, these Terms form part of the agreement.
Services
I provide motion design and related creative services (creative direction, storyboarding, animation, editing, sound sync, delivery formatting). Any description here is indicative and may be tailored per project.
Project structure
Phases: discovery, script/storyboard, styleframes, animation, sound, delivery.
Deliverables: listed by name, format, specs, and usage in the project summary.
Revisions: unless stated otherwise, up to 2 rounds per phase (reasonable scope). Additional rounds or scope changes are billed at €75/h.
Standard delivery formats
Masters:
.mov ProRes 422 HQin 4K (3840×2160) and/or FHD (1920×1080), typically 25 fps (24/30 on request).Web/Social (H.264
.mp4): 1920×1080 (16:9), 1080×1080 (1:1), 1080×1350 (4:5), 1080×1920 (9:16).Audio: 48 kHz, 24‑bit PCM masters / AAC for web.
Subtitles:
.srton request.Naming & transfer: clear conventions + shared folder (Dropbox / Google Drive).
Archiving
Unless otherwise agreed, working files and exports are retained for 6 months after delivery, with no archiving guarantee beyond that period.
Billing & payment
Default cadence: 40% deposit, 30% mid‑production, 30% on delivery. Alternatives may be used per Client policy.
Payment term: Net 30 unless agreed otherwise in writing.
Late payment: the lesser of 1.5% per month (18% p.a.) or the maximum rate permitted by law, plus reasonable collection costs; statutory recovery fees where mandatory.
Currency & method: EUR (default) or as invoiced. Bank transfer (SEPA/wire) or an agreed method.
Bank & FX fees: for non‑SEPA/international wires and currency conversions, Client bears all inbound/outbound bank charges and FX fees so that the net amount received equals the invoiced amount.
Taxes & withholdings: fees are exclusive of taxes. If withholding applies, gross‑up so the net received equals the original amount (provide a valid withholding certificate).
Expenses: pre‑approved travel/stock/VO/licensing/third‑party costs at cost + 10% handling (min €25), unless the Client purchases directly.
No set‑off: amounts due are payable without any set‑off, deduction, or withholding, except as required by law.

Schedules & approvals
Timelines depend on scope, feedback speed, and asset readiness. Client‑side delays may shift milestones.
Approvals: written approval (email) is required to move between phases.
Evidence & e‑signatures: email exchanges and e‑signatures are admissible evidence between businesses; mail server timestamps prevail.
Silence as provisional acceptance: if no feedback is received within 5 business days, the delivery is deemed provisionally accepted to allow the next phase to start (without prejudice to the remaining included feedback).
IP & licenses
Work product (final renders/artwork created for the deliverables) is licensed upon full payment on a non‑exclusive, worldwide, perpetual, non‑transferable and non‑sublicensable basis, limited to the media/formats, versions (languages & durations), territories and channels listed in the project summary/SOW. Any out‑of‑scope use requires a license extension.
Working files & tools (project files, sources, scripts) are not included by default. In retainer/embedded setups, sources required for integration may be shared as part of the agreed scope; otherwise case‑by‑case under a separate license (no public rate).
Third‑party materials are subject to their own licenses.
Attribution & portfolio: I may reference the project at Client go‑live or 30 days after delivery (whichever comes first). Agencies may request a 90‑day embargo in writing.
Confidentiality & data
Confidential use only. GDPR principles are followed (data minimization, purpose limitation, security). If a project involves personal data (e.g., UGC/interviews), a simple DPA addendum is available; SCCs can be used where required for cross‑border transfers. No special category data unless explicitly agreed.
Warranties & disclaimers
Services provided with professional skill and care; all other warranties disclaimed to the maximum extent permitted by law. No guarantee of commercial outcomes.
Limitation of liability
Aggregate liability is capped at the fees paid for the services giving rise to the claim in the 12 months preceding the event.

Independent contractor & subcontractors
Independent contractor. Vetted subcontractors may be engaged; I remain responsible for overall delivery.
Compliance
Client content/marks/instructions must comply with law and not infringe third‑party rights; Client indemnifies against third‑party claims arising from Client‑provided materials or instructions.
Termination & suspension
Either party may terminate for convenience with 7 days’ notice prior to the next planned phase. Work performed remains due; non‑recoverable third‑party commitments are reimbursed.
Client cancellation for convenience (Kill fee)
Before actual commencement: refund of the deposit, less (i) non‑recoverable third‑party costs and (ii) a booking fee equal to the higher of €500 or 1 day at the agreed day rate. Any excess deposit is refunded within 10 business days.
After commencement: amounts due include (i) fees for work performed and phases underway (time & materials), (ii) non‑recoverable third‑party commitments, and (iii) an interruption fee of 20% of the remaining, unexecuted fees (the “kill fee”).
Effect: no usage rights are granted until all due amounts are settled. Upon payment, work‑in‑progress materials produced to date may be delivered as‑is in a reasonable format; source files are excluded unless agreed separately.
Provider cancellation for convenience: if cancellation occurs other than for Client’s breach, the Provider refunds pro‑rata any unused portion of the deposit and makes reasonable materials produced to date available (excluding source files unless otherwise agreed).
Definition of “actual commencement”: the earliest of kick‑off / start of Discovery, firm resource booking (≥ 1 day), or ordering of non‑refundable third‑party items.
Suspension for non‑payment after notice.
Force majeure
No liability for delays due to events beyond reasonable control (e.g., outages, strikes, illness, government action). Schedules shift accordingly.
Order of precedence
(1) Statement of Work / Proposal, (2) these Terms, (3) Client’s purchase order terms (if any).
Governing law & venue
Default: laws of France and courts of Paris. For certain non‑EU clients, by written agreement, the laws of England & Wales and the courts of London, or ICC arbitration (seat Paris or London; proceedings in English) may apply. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
